1. Acceptance of Terms
By accessing or using NovaGate ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
NovaGate provides a modular software platform including but not limited to authentication, communications, project management, and analytics tools. The Service is provided "as is" and may be updated, modified, or discontinued at any time.
3. Account Registration
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use.
4. Acceptable Use
You agree not to: (a) violate any applicable laws or regulations; (b) infringe on intellectual property rights; (c) transmit harmful code or malware; (d) attempt to gain unauthorised access to systems or data; (e) use the Service for spam, phishing, or fraudulent activities; (f) interfere with the operation of the Service.
5. Data and Privacy
Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described therein. We comply with applicable data protection regulations including the Australian Privacy Act 1988.
6. Intellectual Property
All content, trademarks, and technology within the Service are owned by or licensed to us. You retain ownership of data you submit but grant us a licence to process it for providing the Service.
7. Payment and Billing
Certain features may require paid subscriptions. Fees are billed in advance on a recurring basis. You authorise us to charge your designated payment method. Prices may change with 30 days' notice.
8. Termination
We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service.
10. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be resolved in the courts of New South Wales.
11. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use constitutes acceptance of the revised Terms.
